DocuWhisper Software

Terms of Service & Software Licence

Effective October 1, 2026

In short: our software is a reference tool for licensed clinicians. It does not give medical advice, it can be wrong, and you remain responsible for every clinical decision. Paid features unlock with a licence key for your own use. Don't use hosted translation with patient information until a business associate agreement is in place.

These terms are an agreement between you and DocuWhisper Software ("we", "us") covering our website (docuwhispersoftware.com), your account, and our software, including Autoclave and its paid modules, licence keys and hosted services (together, the "Services"). By creating an account, downloading, installing, activating or using the Services you agree to these terms. If you are agreeing on behalf of a practice or organization, you confirm you can bind it.

1. Who the Services are for

The Services are intended for licensed healthcare professionals, and for students and trainees working under appropriate supervision. You must be at least 18. The Services are not intended for patients or the public, and you must not use them to give advice directly to patients without your own professional review.

2. Clinical decision support — not medical advice

The Services provide reference information and decision support: drug-label content retrieved from the U.S. FDA's openFDA service, condensed summaries of published guidelines, calculators, scores, local epidemiology and similar material. Each guideline topic shows its source so you can review the basis for any information independently.

3. Accounts

You need a free account with a confirmed email address to download software and view your licence keys. Keep your password confidential; you are responsible for activity under your account. Tell us promptly at sales@docuwhispersoftware.com if you think your account or a licence key has been compromised. You can delete your account at any time from My account.

4. Licence to use the software

Subject to these terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the software for your own professional use on computers you use. The free Drug Guide may be used without a key. Paid modules require a valid licence key and may be used only by the person or organization named on the key and only for the term of the key.

You may not: share, sell, publish or transfer licence keys; copy or redistribute the software or its content except as allowed here; remove notices; reverse-engineer, decompile or circumvent licence checks except where the law expressly allows it; or use the Services to build a competing product. We own the software and our original content; third-party content remains the property of its owners and is used under its own terms.

5. Purchases, renewals and refunds

6. Hosted translation

The optional hosted plan sends audio from the Live Translator through our server to a third-party AI provider (currently OpenAI) to produce a transcript and translation. We do not store the audio or the text; we record only the number of minutes used against your licence.

7. Updates and availability

The software checks our website for updates and offers to install them. Updates may add, change or remove features, including content or modules (for example, a module may be withdrawn for regulatory reasons); if we withdraw a paid module during a paid term, contact us and we will offer a prorated refund or credit. We try to keep the website and hosted services available but do not guarantee uninterrupted access.

8. Third-party services

The Services rely on third parties, including openFDA, our hosting provider, our payment provider and AI providers you choose. We are not responsible for third-party services, and their terms and privacy policies apply to your use of them.

9. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING FROM CLINICAL DECISIONS MADE WITH OR WITHOUT THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow some of these limits, so they may not apply to you.

11. Indemnity

You agree to indemnify us against claims arising from your use of the Services in patient care, your breach of these terms, or your violation of law or the rights of others.

12. Ending these terms

You may stop using the Services and delete your account at any time. We may suspend or end access if you breach these terms, misuse licence keys, or if we discontinue a Service. Sections 2, 4 (restrictions), 9, 10, 11 and 13 survive.

13. General

These terms are governed by the laws of the State of Alabama, without regard to conflict-of-law rules, and disputes will be brought in the state or federal courts located in Alabama. If any part of these terms is unenforceable, the rest remains in effect. We may update these terms; we will post the new version here with a new effective date and, for material changes, notify account holders by email. Continued use after the effective date means you accept the update.
